These Terms and Conditions (“Terms”) govern access to and use of PurpleIPD, PurpleEMR, PurpleHMIS, and the broader PurpleDocs suite of products (collectively, the “Software”) provided by PurpleBits Infosystems Pvt. Ltd. (“PurpleBits”, “we”, “us”, “our”), a company based in Vadodara, Gujarat, India. By accessing or using the Software, the hospital, clinic, or healthcare organization (“Client”) agrees to be bound by these Terms.

1. Nature of Services

PurpleBits provides on-premise hospital documentation and digitisation software, including tablet-based IPD documentation, OPD/clinic EMR, and hospital management/operations tools. The Software is licensed to the Client for use within its own healthcare facility(ies) as per the terms of the applicable service agreement or purchase order executed between the Client and PurpleBits.

2. Deployment and Data Ownership

The Software is deployed on-premise on infrastructure owned, hosted, or controlled by the Client. All patient records, clinical data, and related information generated or stored using the Software remain the sole property of the Client. PurpleBits does not host, retain, or have standing access to Client data on its own servers, and does not have centralised visibility into Client usage or patient data unless explicitly granted by the Client for a specific, time-bound purpose (such as support or maintenance).

3. Data Protection and Compliance

PurpleBits designs its Software to support compliance with applicable Indian data protection law, including the Digital Personal Data Protection Act, 2023 (“DPDP Act”), and healthcare accreditation frameworks such as NABH and ABDM. However, responsibility for lawful collection, processing, storage, and protection of patient personal data rests with the Client as the data fiduciary/data controller for its own patients, in accordance with applicable law. Where the Software includes AI-assisted features (such as AI-suggested discharge summaries), patient-identifying information is redacted prior to any such processing.

4. Client Responsibilities

The Client is responsible for: (a) securing the on-premise infrastructure on which the Software is deployed; (b) managing user access, credentials, and permissions for its staff; (c) ensuring accuracy and completeness of data entered into the Software by its personnel; and (d) obtaining any patient consents required under applicable law for the collection and processing of health data.

5. Intellectual Property

All software code, product design, trademarks (including PurpleDocs, PurpleIPD, PurpleEMR, and PurpleHMIS), and underlying technology remain the exclusive intellectual property of PurpleBits Infosystems Pvt. Ltd. Use of the Software does not transfer any ownership rights to the Client, and the Software may not be copied, reverse-engineered, resold, or redistributed without prior written consent from PurpleBits.

6. Limitation of Liability

The Software is provided to support clinical documentation workflows and is not a substitute for professional medical judgment. All clinical decisions, including those informed by AI-assisted features, remain the responsibility of the treating medical officer or clinician. PurpleBits shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the Software, except as expressly agreed in the applicable service agreement or as required under applicable law.

7. Service Availability and Support

PurpleBits will provide support and maintenance services as outlined in the Client’s service agreement. While PurpleBits aims for high reliability, it does not guarantee uninterrupted or error-free operation of the Software, particularly where performance depends on Client-side infrastructure.

8. Termination

Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. Upon termination, the Client retains full ownership of and access to its own data, subject to any transition arrangements agreed between the parties.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts at Vadodara, Gujarat.

10. Changes to These Terms

PurpleBits may update these Terms from time to time to reflect changes in law, product functionality, or business practice. Continued use of the Software after such changes constitutes acceptance of the revised Terms.
